Terms of Service

By accessing or using the CSR Foundry service (the "Service"), you agree to be bound by these Terms of Service (the "Terms"). If you do not agree to these Terms, do not access or use the Service.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case "you" and "your" refer to that entity.

CSR Foundry provides cloud-based construction cost estimating software, including tools for creating estimates, managing reference libraries, reviewing and collaborating on projects, and exporting data. The specific features available to you depend on your subscription tier.

We may modify, add, or remove features at any time. We will make reasonable efforts to notify users of material changes.

To access most features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

You agree not to use the Service to: (a) violate any applicable law or regulation; (b) infringe on the intellectual property rights of others; (c) upload or transmit viruses, malware, or other harmful code; (d) attempt to gain unauthorized access to the Service or other users' accounts; (e) reverse engineer, decompile, or disassemble any portion of the Service; or (f) resell, sublicense, or otherwise make the Service available to third parties without our express written consent.

The Service, including all software, designs, text, graphics, and other content (excluding user-submitted content), is owned by CSR Foundry and its licensors and is protected by copyright, trademark, and other intellectual property laws.

You retain all rights to content you submit to the Service ("User Content"). By submitting User Content, you grant us a limited, non-exclusive license to host, store, and process that content solely to provide the Service to you.

The Service is currently offered through an early access program. Features, performance, and availability may change. We may prioritize stability, support, and feature development decisions based on feedback from early access users.

Early access users who convert to paid subscriptions may receive introductory pricing as described at the time of sign-up.

Fees for paid subscription tiers are described on the pricing page or in a separate agreement between you and CSR Foundry. Unless otherwise stated, fees are billed in advance on a monthly basis and are non-refundable except as required by law.

We reserve the right to change pricing with reasonable advance notice. Changes will not apply retroactively to periods already paid for.

You may terminate your account at any time by contacting us or using any account deletion feature we provide. Upon termination, your right to access the Service ends immediately.

We may suspend or terminate your account if you violate these Terms, fail to pay fees when due, or if we are required to do so by law. We will provide reasonable notice where practical.

After termination, we may retain limited data as required for legal, accounting, or legitimate business purposes.

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. Cost estimates generated by the Service are tools to support decision-making; you are solely responsible for the estimates you produce and submit using the Service.

To the maximum extent permitted by law, CSR Foundry and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities, arising out of or relating to your use of the Service.

Our total liability for any claim arising out of or relating to the Service will not exceed the amount you paid to us for the Service in the twelve months preceding the event giving rise to the claim.

You agree to indemnify and hold harmless CSR Foundry and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any rights of a third party.

These Terms are governed by the laws of the jurisdiction in which CSR Foundry is established, without regard to conflict-of-law principles. Any dispute arising from these Terms or your use of the Service will be resolved in the courts of that jurisdiction.

We may update these Terms from time to time. When we do, we will update the "Last updated" line at the top of this page and, for material changes, provide reasonable notice via email or in-product notification. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
